Ellison has spent weeks warning Warner Bros. Discovery investors that any attempt by Netflix to acquire the company would be dead on arrival in Europe. In his December 10 letter to WBD shareholders, he argued that European regulators — including the European Commission and the U.K.’s Competition and Markets Authority — would never allow the world’s largest streaming platform to swallow one of its last true global rivals.
Instead, Ellison positioned the Paramount–Skydance $108 billion takeover proposal as the safer bet — a deal he described as offering “a much shorter and more certain path to completion.”
But across Europe, regulators appear far less rattled by the Netflix scenario than Ellison’s rhetoric suggests.
The Netflix dominance argument
At the heart of Ellison’s warning is Netflix’s sheer scale in Europe. With an estimated 51% share of the continent’s subscription video-on-demand (SVOD) market, Ellison has framed any Netflix acquisition of HBO Max as an existential threat to competition.

In his view, Netflix would attempt to redefine the market broadly — grouping subscription streaming with platforms like YouTube and TikTok — in order to dilute its dominance. He has even cited landmark EU regulations such as the Digital Services Act and Digital Markets Act, arguing they were designed “for a situation precisely like this.”
Europe’s cooler response
Yet regulatory insiders suggest the reaction inside Europe has been notably calm. Unlike Ellison’s apocalyptic tone, officials appear focused on evidence rather than hypotheticals. While Netflix’s dominance is undeniable, European authorities have historically taken a more nuanced view of competition — factoring in content quotas, local production mandates, and national broadcasters that still command large audiences.
In short, the Netflix-as-nonstarter narrative may be more persuasive in boardrooms than in regulatory offices.
Several analysts say Ellison’s argument looks less like a legal certainty and more like a strategic pressure tactic aimed squarely at shareholders weighing competing bids.

Why Trump may be the real audience
There’s also a political subtext. Ellison’s warnings resonate loudly in the United States, where antitrust debates have increasingly become entangled with politics. With Donald Trump once again exerting influence over conservative economic narratives, painting Netflix as a global monopolist facing inevitable European rejection may play well domestically — even if it doesn’t align with regulatory reality overseas.
By contrast, European regulators are accustomed to American tech giants operating at scale. Their approach is typically corrective, not prohibitive — imposing obligations rather than outright bans.
A battle of certainty versus speculation
Ultimately, Ellison’s pitch boils down to certainty versus speculation. The Paramount–Skydance deal, he argues, is predictable and controllable. A hypothetical Netflix bid, by contrast, is framed as legally radioactive.
But as Europe’s muted response suggests, the fear tactic may be overstated.
For Warner Bros. Discovery shareholders, the real question is whether Ellison’s regulatory warnings reflect genuine risk — or simply a carefully crafted narrative designed to tilt the boardroom scales.
