In its statement, the now Republican-controlled FTC said it had concluded that “the public interest is best served by dismissing the administrative litigation in this case.” That admission effectively shuts down the last domestic obstacle to a deal that has already been approved by UK and European regulators, and finalized by Microsoft last year.

This withdrawal caps off a dramatic legal saga that began in December 2022, when the FTC sued to block the acquisition, arguing that it would give Microsoft the power to limit competitors’ access to high-demand titles—particularly through Xbox Game Pass and its subscription model. At the time, the gaming giant was aiming to close the gap with Sony’s PlayStation and Nintendo in the competitive console market.

But the FTC’s attempt to intervene quickly ran into legal headwinds. In July 2023, the U.S. District Court for Northern California denied the commission’s request for an injunction to pause the deal, stating that the FTC had failed to prove it would substantially lessen competition. An appeals court upheld that ruling earlier this month.

Microsoft, which first announced its intention to buy Activision Blizzard in January 2022, hailed the FTC’s decision as a “welcome end to a long chapter.”

Industry analysts now predict that the completed merger will reshape the future of gaming.
