Discovery, Ted Sarandos told Bloomberg that the decision to step back was always rooted in financial discipline — not political calculations — even as speculation swirled around US political influence and former President Donald Trump’s involvement.

Netflix had agreed last December to acquire the storied studio and its streaming platform — including HBO Max — in a deal initially valued at roughly $82.7 billion. But when Paramount Global and Paramount Skydance came back with a superior offer (~$110 – $111 billion including debt), Netflix chose not to counter. Sarandos explained that Netflix set a strict price range early in negotiations and was prepared to exit if a rival bid went beyond it.

“We knew right away when we got notice that they had a superior offer… We knew exactly what we were going to do,” Sarandos said, pointing out that Netflix’s bid was last and final while Paramount’s kept being increased.

The winning bid, led by David Ellison and his partners, included billions in personal guarantees and debt commitments — a strategy Netflix’s leadership described as “unusual” and even “irrational.” Sarandos suggested Paramount may face steep cost cuts to balance the deal, potentially leading to industry‑wide layoffs and reduced production budgets.

Trump’s Role — More Noise Than Decision

Many industry insiders assumed that political pressure — especially from Trump and his allies — would influence the outcome of the bidding contest. Much of that speculation stemmed from public statements and social media calls for Netflix to remove ex‑Obama official Susan Rice from its board. But Sarandos was emphatic that politics played no role in Netflix’s decision. Trump, he said, “never intended to make the call” or push regulators differently, and the bid’s collapse was decided long before any public remarks.

“I don’t think there was growing political resistance,” Sarandos said, noting that the company’s regulatory engagement was typical — spanning dozens of bodies globally — and not materially affected by partisan narratives.

Sarandos also stated clearly that despite Trump’s public urging to fire Rice, Netflix had no intention of removing her — and that board members have the right to express viewpoints privately, even during high‑stakes deals.

Theaters and Netflix’s Evolving Strategy

One unexpected positive outcome for Netflix has been newfound engagement with theatrical owners. While the Warner Bros. acquisition would have given Netflix a full theatrical distribution infrastructure, Sarandos said the company is still focused on other ways to collaborate with theaters without owning their own distribution arm.

Ultimately, Sarandos described the entire saga as “unusual” and hinted that the outcome may — paradoxically — benefit Netflix by keeping it agile and focused on organic growth rather than sprawling acquisitions. But he also expressed hope the resulting industry consolidation doesn’t hurt Hollywood as a whole.
